1. Introduction
Welcome to Spinly. These Terms of Service (“Terms”) govern your use of the Spinly platform, website, and services (collectively, the “Service”). By accessing or using Spinly, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not use the Service.
Spinly provides software that allows users to plan, provision, manage, and operate temporary cloud environments for demonstrations, testing, development, and training purposes.
2. Accounts
To use Spinly, you may be required to create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Ensuring that your users comply with these Terms
You agree to notify Spinly immediately of any unauthorized use of your account.
3. Spinly Environments
You acknowledge and agree that:
- Environments are temporary and may be automatically terminated
- Environments may be deleted at any time
- Data stored in environments may be permanently lost
- Environments are not intended for production workloads
- Spinly does not guarantee persistence, backups, or recovery
- Spinly may monitor environments for security, abuse, and platform integrity
You are responsible for any data, software, or activity within environments launched under your account.
4. Acceptable Use
You agree not to use Spinly for any unlawful, abusive, or prohibited activities. Prohibited uses include:
- Illegal activities
- Cryptocurrency mining
- Network scanning or attacks
- Denial-of-service attacks
- Hosting public-facing services
- Running production workloads
- Sending spam or phishing
- Storing illegal content
- Attempting unauthorized access to systems
- Attempting to bypass platform restrictions
- Launching additional cloud infrastructure from within environments
- Excessive storage or bandwidth abuse
Spinly reserves the right to suspend or terminate environments or accounts that violate this section.
5. Usage Limits
Spinly may impose usage limits including but not limited to:
- Environment TTL (time to live)
- Instance size limits
- Storage limits
- Network limits
- Concurrent environment limits
- Usage credits or quotas
Spinly may terminate environments that exceed limits or abuse resources.
6. Fees and Billing
Some features of Spinly may require payment. You agree to pay all applicable fees associated with your use of the Service.
Spinly reserves the right to change pricing, introduce new fees, and suspend accounts for non-payment.
7. Data and Privacy
You retain ownership of your data. Spinly may store and process data necessary to operate the Service, including logs, environment metadata, usage metrics, and account information.
Our Privacy Policy describes how we collect and use data.
8. Service Availability
Spinly is provided on an “as is” and “as available” basis. Spinly does not guarantee:
- Continuous availability
- Uptime
- Environment persistence
- Data retention
- Backup or recovery
Spinly may modify, suspend, or discontinue the Service at any time.
9. Limitation of Liability
To the maximum extent permitted by law, Spinly shall not be liable for:
- Data loss
- Environment termination
- Service interruptions
- Security incidents
- Loss of profits
- Loss of business
- Indirect or consequential damages
- Cloud infrastructure costs incurred by users
- Activities conducted within user environments
Your use of the Service is at your own risk.
10. Indemnification
You agree to indemnify and hold harmless Spinly and its operators from any claims, damages, liabilities, costs, or expenses arising from:
- Your use of the Service
- Activities within your environments
- Violation of these Terms
- Violation of any laws or regulations
- Infringement of intellectual property
- Network abuse or illegal activity originating from your environments
11. Termination
Spinly may suspend or terminate your account or environments at any time for:
- Violation of these Terms
- Abuse of resources
- Security risks
- Illegal activity
- Non-payment
- Platform integrity concerns
You may stop using the Service at any time.
12. Changes to Terms
Spinly may update these Terms from time to time. Continued use of the Service after changes means you accept the updated Terms.
13. Governing Law
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
